Last updated: 4 September 2026

1. Introduction and Agreement to These Terms

Welcome to Orthinal ("Orthinal", "we", "us", or "our").

These Terms of Service ("Terms") govern your access to and use of our website, digital marketplace, products, templates, content, and related services (collectively, the "Services").

By accessing or using our Services, creating an account, downloading a product, or making a purchase, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not use our Services.

If you are using our Services on behalf of a business or other legal entity, you confirm that you have the authority to accept these Terms on its behalf.

2. About Orthinal

Orthinal is a UK-based digital marketplace offering professionally designed digital products, including website templates and related digital resources.

Our products are intended to help individuals, businesses, developers, creators, and other customers build and launch digital projects more efficiently.

We may update, modify, suspend, or discontinue any part of our Services from time to time.

3. Eligibility

You must be legally capable of entering into a binding agreement to use our Services.

If you are under 18 years of age, you may only use our Services with the permission and supervision of a parent or legal guardian, where permitted by applicable law.

By using Orthinal, you represent that the information you provide is accurate and that your use of our Services complies with applicable laws and regulations.

4. User Accounts

Some features of our Services may require you to create an account.

When creating and maintaining an account, you agree to:

  • Provide accurate, current, and complete information.
  • Keep your account information up to date.
  • Maintain the confidentiality of your login credentials.
  • Accept responsibility for activity carried out through your account.
  • Notify us promptly if you become aware of any unauthorised access to or use of your account.
  • Not share, sell, transfer, or otherwise provide access to your account to another person without our permission.

We reserve the right to suspend or terminate accounts where we reasonably believe that these Terms have been violated or where necessary to protect our Services, users, or business.

5. Digital Products and Template Licences

When you download or purchase a template or other digital product from Orthinal, you are granted a licence to use that product. You do not acquire ownership of the underlying intellectual property unless expressly stated otherwise.

The specific licence applicable to a product may be displayed on the relevant product page or during the purchase process.

Unless otherwise stated, your licence is personal, non-exclusive, non-transferable, and subject to these Terms.

5.1 Permitted Use

Subject to compliance with these Terms and the applicable product licence, you may generally:

  • Use the product for personal projects.
  • Use the product for your own commercial projects.
  • Modify and customise the product to suit your requirements.
  • Create and deploy end products based on the template.
  • Use the product for websites or applications developed for yourself or your organisation.

5.2 Restrictions

Unless expressly permitted by the applicable licence, you must not:

  • Resell, redistribute, sublicense, share, publish, or transfer the original template or product files.
  • Make the original source files publicly available.
  • Upload the original product files to template marketplaces, repositories, file-sharing platforms, or similar services for redistribution.
  • Claim ownership of the original template, design, source files, or intellectual property.
  • Remove copyright, licence, or proprietary notices where removal is not permitted.
  • Use the product in a manner that infringes the rights of Orthinal, a creator, or any third party.
  • Circumvent, disable, or interfere with any technical measures used to protect our products or Services.

You may use a customised end product commercially where permitted by the applicable licence, provided that you do not redistribute the original template or substantially equivalent source files as a competing template or product.

6. Free Products

Free products may be offered subject to specific licence terms displayed with the relevant product.

Unless otherwise stated, downloading a free product does not transfer ownership of the product or its intellectual property to you.

Orthinal may modify, remove, or discontinue free products at any time.

7. Premium Products and Purchases

Premium products require payment before access or download is provided.

By placing an order, you agree that:

  • The information you provide in connection with your purchase is accurate.
  • You are authorised to use the selected payment method.
  • You will pay all applicable charges associated with your purchase.
  • Access to a digital product may be provided immediately or shortly after successful payment confirmation.

We reserve the right to refuse or cancel an order where reasonably necessary, including in cases involving suspected fraud, unauthorised transactions, pricing errors, or violations of these Terms.

8. Payments

Payments are processed through third-party payment service providers.

Orthinal does not store complete payment card details on its own servers.

Your payment may also be subject to the terms and conditions of the relevant payment provider.

Prices for our products may change from time to time. Any price changes will not normally affect purchases that have already been successfully completed.

Unless stated otherwise, applicable taxes, including VAT or other sales taxes where required, may be added or handled in accordance with applicable law.

9. Refunds and Cancellation

Due to the nature of digital products, special rules may apply to refunds and cancellation rights.

Where a refund policy or money-back guarantee is expressly offered for a particular product, the terms displayed on the relevant product page or during the purchase process will apply.

If you are a consumer with statutory cancellation rights, your rights may be affected where you expressly request immediate access to digital content and acknowledge that you may lose applicable cancellation rights once the digital content has been supplied, where permitted by law.

Nothing in these Terms is intended to exclude or limit any consumer rights that cannot legally be excluded or limited.

If you believe that you are entitled to a refund, please contact us at support@orthinal.com with your order details.

10. Intellectual Property

All intellectual property rights in our Services, including templates, designs, source code, graphics, branding, logos, text, documentation, and other content, are owned by Orthinal, our licensors, or the relevant content creators.

These materials are protected by applicable intellectual property laws.

Except for the limited licence expressly granted to you, these Terms do not grant you any ownership rights in our intellectual property.

The Orthinal name, branding, logos, and other brand elements may not be used without our prior written permission except where necessary to identify Orthinal or where otherwise permitted by law.

11. Creator Content

Where Orthinal permits third-party creators to submit or upload products to the platform, the relevant creator remains responsible for ensuring that they have the necessary rights to provide such content.

By submitting content to Orthinal, a creator grants us the rights reasonably necessary to host, display, market, distribute, licence, and operate that content through our Services, subject to any separate agreement or creator terms that may apply.

We may remove content where we reasonably believe that it infringes intellectual property rights, violates applicable law, or breaches our policies or agreements.

12. Acceptable Use

You agree not to use Orthinal or our Services to:

  • Violate any applicable law or regulation.
  • Infringe intellectual property, privacy, or other rights.
  • Upload, distribute, or transmit viruses, malware, or other harmful code.
  • Attempt to gain unauthorised access to our systems, accounts, or infrastructure.
  • Interfere with or disrupt the security, operation, or availability of our Services.
  • Engage in fraudulent, deceptive, or misleading activity.
  • Impersonate another person or organisation.
  • Create false or misleading accounts.
  • Spam, abuse, harass, threaten, or harm others.
  • Scrape, copy, reproduce, or systematically extract content from our Services in an unauthorised manner.
  • Circumvent access controls, licensing restrictions, or security measures.

We may investigate suspected violations and take appropriate action, including suspension or termination of access.

13. Availability and Changes to the Services

We aim to keep our Services available and functioning properly. However, we do not guarantee that the Services will always be uninterrupted, error-free, secure, or available at all times.

We may perform maintenance, updates, or changes that temporarily affect availability.

We may also update, modify, add, or remove features, products, or content at any time.

Where reasonably possible, we will seek to minimise unnecessary disruption.

14. Updates and Support

Product updates, documentation, and support may be provided where stated on the relevant product page.

Unless expressly stated otherwise, we are not required to provide future updates, new features, compatibility updates, or ongoing technical support for a product.

Any specific support period, update entitlement, or service level displayed at the time of purchase will apply to that purchase.

15. Disclaimers

To the fullest extent permitted by applicable law, our Services and digital products are provided on an "as is" and "as available" basis.

While we make reasonable efforts to provide high-quality products and services, we do not guarantee that:

  • Every product will meet every user's specific requirements.
  • Products will be compatible with every device, system, browser, framework, or third-party service.
  • Products will be entirely free from errors or defects.
  • Our Services will always be uninterrupted or available.
  • Any particular result, business outcome, revenue, or performance will be achieved through the use of our products.

You are responsible for reviewing, testing, and determining whether a product is suitable for your intended use.

Nothing in these Terms excludes any warranty or right that cannot lawfully be excluded under applicable law.

16. Limitation of Liability

Nothing in these Terms limits or excludes liability where it would be unlawful to do so.

Subject to applicable law, Orthinal will not be liable for indirect or consequential losses, including loss of profit, loss of business opportunity, loss of goodwill, or loss of data, where such losses are not reasonably foreseeable.

Nothing in these Terms excludes or limits liability for:

  • Death or personal injury caused by negligence.
  • Fraud or fraudulent misrepresentation.
  • Any other liability that cannot legally be excluded or limited under applicable law.

Where liability may lawfully be limited, our total liability arising from or relating to a specific purchase will generally not exceed the amount paid by you to Orthinal for the product or service giving rise to the claim.

17. Suspension and Termination

We may suspend or terminate your access to all or part of our Services if:

  • You breach these Terms.
  • We reasonably suspect fraudulent or unlawful activity.
  • Your use creates a security or technical risk.
  • We are required to do so by law.
  • It is otherwise reasonably necessary to protect Orthinal, our users, or our Services.

Where appropriate, we may provide notice before taking action, but we may suspend access immediately where reasonably necessary.

Termination of your account does not automatically transfer or remove intellectual property rights or licence restrictions applicable to products you have previously downloaded or purchased.

18. Third-Party Services

Our Services may contain links to or integrations with third-party websites and services.

We do not control and are not responsible for the content, availability, security, or practices of third-party services.

Your use of third-party services is subject to their own terms and privacy policies.

19. Changes to These Terms

We may update these Terms from time to time.

When we make changes, we will update the "Last updated" date at the top of this page.

Where changes are material, we may provide additional notice where appropriate or required by law.

Your continued use of the Services after the updated Terms become effective constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

20. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and interpreted in accordance with the laws of England and Wales.

If you are a consumer, you may also benefit from mandatory provisions of the law of the country in which you are resident where applicable law provides such protection.

The courts of England and Wales shall have jurisdiction over disputes arising from these Terms, subject to any mandatory rights you may have under applicable consumer protection laws.

21. General

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue in full force and effect.

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

These Terms, together with any applicable product-specific licence terms, refund policy, and other documents expressly incorporated by reference, form the agreement between you and Orthinal regarding your use of the Services.
