License Agreement

This License Agreement explains the rights and restrictions that apply when you download, purchase, or use digital products available through Orthinal.

Please read this agreement carefully before using any Orthinal template or digital product. By downloading or purchasing a product from Orthinal, you agree to comply with this License Agreement.

1. License Grant

When you download or purchase a template or other digital product from Orthinal ("Product"), you are granted a limited, non-exclusive, non-transferable licence to use the Product in accordance with this Agreement.

The licence gives you permission to use the Product; it does not transfer ownership of the original Product or its intellectual property rights to you.

Unless otherwise stated on the relevant Product page, the licence is granted to the individual or organisation that lawfully obtained the Product and may not be transferred, sublicensed, sold, or shared with another person or organisation.

2. Free Templates

Free templates may be used for both personal and commercial projects, subject to the restrictions in this Agreement.

You MAY:

  • Download and use the template for personal projects
  • Use the template for commercial projects
  • Use the template for client projects
  • Modify, customise, and adapt the template
  • Use the template in multiple projects
  • Deploy websites or applications created using the template
  • Distribute or sell your completed project to end users or clients
  • Use the template without attribution unless otherwise stated

You MAY NOT:

  • Resell or redistribute the original template files
  • Make the original template available as a downloadable product
  • Include the original template in a template bundle or marketplace
  • Sublicense, lease, or transfer the template
  • Share the original template files with unauthorised users
  • Use the template to create a competing template marketplace or substantially similar template product
  • Remove or alter copyright or ownership notices where prohibited by the applicable Product licence

3. Premium Templates

Premium templates are paid digital products and are generally provided under a single-project licence, unless a different licence is explicitly stated on the relevant Product page.

Single-Project Licence

A single-project licence permits you to use the purchased template for one primary project.

A project generally means one distinct website, application, digital product, or other identifiable end product.

If you wish to use the same premium template for multiple separate projects, you must purchase an additional licence for each additional project unless your purchase includes broader usage rights.

You MAY:

  • Use the template for one personal or commercial project
  • Use the template for client work
  • Modify and customise the template
  • Deploy the completed project to a production environment
  • Incorporate the template into a completed website or application
  • Deliver the completed project to your client or end user
  • Modify the design, layout, functionality, and content as required for the project

You MAY NOT:

  • Use the same licence for multiple unrelated projects
  • Resell or redistribute the original template
  • Share the original template files with clients, contractors, or other unauthorised users
  • Make the original template available as a downloadable product
  • Include the template in a template bundle or competing marketplace
  • Create and sell another template product substantially based on the original template
  • Sublicense or transfer the template licence without written permission
  • Use the template as a standalone component of a service whose primary purpose is providing access to the template itself

4. Commercial and Personal Use

Unless otherwise stated, both free and premium templates may be used for personal and commercial purposes.

Commercial Use

Commercial use includes:

  • Websites created for businesses or organisations
  • Websites or applications developed for paying clients
  • Products or services offered for sale
  • Applications operated by a commercial organisation
  • Internal business tools
  • Client websites and digital projects

Personal Use

Personal use includes:

  • Personal websites
  • Portfolios
  • Personal blogs
  • Learning projects
  • Hobby projects
  • Non-commercial community projects

The same licence restrictions apply regardless of whether the project is personal or commercial.

5. Modifications and Derivative Works

You may modify, customise, adapt, and build upon an Orthinal template for an authorised project.

You may change elements including:

  • Layout
  • Typography
  • Colours
  • Content
  • Components
  • Images
  • Functionality
  • Structure
  • Design

However, modifications do not transfer ownership of the original template or its underlying intellectual property to you.

When distributing a completed project, you must not provide the original template files as a standalone downloadable product.

Your clients or end users may receive and use the completed project, but they must not receive rights to redistribute or resell the original Orthinal template unless separately authorised.

6. Team and Multi-User Use

Unless otherwise stated, a standard premium licence is intended for the purchaser or the purchasing organisation's authorised use for the licensed project.

You must not share the original template files with individuals who are not authorised to use them.

If multiple developers, designers, contractors, or team members need access to the original template files, you may need an appropriate team, extended, or additional licence.

Where available, the applicable team licence will specify the number of authorised users.

For licensing questions involving teams or contractors, please contact us before sharing the Product.

7. Intellectual Property Rights

Orthinal and its creators retain all rights, title, and interest in the original Products, including applicable rights in:

  • Template designs
  • Source code
  • Layouts
  • Components
  • Graphics
  • Documentation
  • Branding
  • Original written content
  • Other proprietary materials

Purchasing or downloading a Product does not constitute a transfer or assignment of these rights.

You retain ownership of original content that you independently create and add to your project, subject to any third-party rights.

Where you create modifications to an Orthinal Product, those modifications do not give you ownership of Orthinal's underlying Product or intellectual property.

Attribution

Attribution is not required unless specifically stated in the applicable Product licence. Where attribution is provided voluntarily, we appreciate credit to Orthinal.

8. Resale and Distribution

You may sell, publish, or distribute a completed project created using an authorised Orthinal Product.

For example, you may:

  • Deliver a completed website to a client
  • Sell an application that incorporates the template
  • Publish a website created using the template
  • Provide a finished digital product to an end user

However, you may not:

  • Resell the original template
  • Sell modified template files as a template product
  • Upload the template to another marketplace
  • Include the template in a template bundle
  • Make the template available through a template library
  • Provide the original template files to unauthorised users
  • Use the template as the primary product in a competing template service

The key distinction is that you may distribute the finished project, but you may not redistribute the underlying Orthinal Product.

9. Prohibited Uses

You must not use an Orthinal Product to:

  • Violate applicable laws or regulations
  • Infringe another person's intellectual property or other rights
  • Create or distribute malicious software
  • Circumvent licence restrictions or access controls
  • Remove proprietary notices where prohibited
  • Create a competing template marketplace or substantially similar template product
  • Redistribute or sublicense the original Product
  • Sell the original Product or modified versions of it as templates
  • Use the Product for unlawful, fraudulent, or abusive purposes
  • Share the original Product with unauthorised individuals or organisations

You are responsible for ensuring that your use of the Product complies with applicable law.

10. Third-Party Assets

Some Products may contain third-party assets, including fonts, icons, images, illustrations, photographs, libraries, or other resources.

Third-party assets may be subject to separate licence terms.

Your licence to an Orthinal Product does not automatically grant you ownership or additional rights in third-party materials.

You are responsible for reviewing and complying with any applicable third-party licence requirements before using such assets in your project.

11. Updates and Support

Where stated on the relevant Product page, premium Products may include updates for a specified period.

Unless otherwise stated, premium Products include:

  • Updates for up to one year from the purchase date
  • Access to available documentation
  • Access to available support resources
  • Community support where provided

Updates may include bug fixes, improvements, compatibility changes, or new features at Orthinal's discretion.

Updates do not guarantee permanent compatibility with future versions of third-party software, frameworks, platforms, browsers, operating systems, or other technologies.

Unless explicitly included with a Product, the purchase does not include:

  • Custom development
  • Personal implementation services
  • Unlimited technical support
  • Guaranteed future updates
  • Priority support

12. Licence Term

Unless terminated earlier in accordance with this Agreement, your licence remains valid for as long as you comply with the applicable licence terms.

A one-year update period does not mean that the underlying licence expires after one year. The update period and the licence period are separate.

If your licence is terminated due to a material breach, you must stop using the affected Product as described in Section 14.

13. Disclaimer

Products are provided on an "as available" and "as is" basis to the maximum extent permitted by applicable law.

Orthinal does not guarantee that every Product:

  • Will be completely free of errors or defects
  • Will meet your specific requirements
  • Will work with every platform or software environment
  • Will remain compatible with future third-party technologies
  • Will operate without interruption

Nothing in this Agreement excludes or limits any rights or protections that cannot legally be excluded under applicable law.

14. Licence Termination

Your licence may be terminated if you materially breach this Agreement, including by:

  • Reselling or redistributing a Product
  • Sharing the original Product with unauthorised users
  • Using a Product outside the permitted licence scope
  • Circumventing licence restrictions
  • Failing to pay for a Product or applicable licence
  • Engaging in unlawful use of a Product

Where your licence is terminated, you must:

  • Stop using the affected Product
  • Stop distributing the affected Product
  • Remove the original Product files from systems under your control where reasonably required
  • Comply with any additional termination requirements applicable under the relevant Product licence

Termination does not affect rights or obligations that accrued before termination.

15. Additional and Extended Licences

If you need to use a premium Product for additional projects, users, organisations, or other purposes outside your existing licence, you may need to obtain an additional or extended licence.

Depending on availability, you may:

  • Purchase an additional licence for another project
  • Purchase a team or extended licence
  • Contact Orthinal to discuss custom licensing requirements

16. Refunds and Licence Termination

If a purchase is refunded in accordance with Orthinal's Refund Policy, the licence associated with that purchase will normally terminate upon the refund being issued.

After receiving a refund, you must stop using the refunded Product and comply with the applicable requirements for refunded digital products.

Our Refund Policy does not grant any additional rights to use a Product after a refund.

17. Changes to This Licence Agreement

We may update this License Agreement from time to time to reflect changes to our Products, Services, business practices, or applicable laws.

The updated version will be published on our website with a revised "Last updated" date.

Unless otherwise required by law, changes will generally apply to Products purchased or downloaded after the updated agreement becomes effective.

Existing licences will generally remain subject to the version of the licence applicable at the time of purchase, except where changes are required by applicable law or agreed otherwise.

18. Governing Law

This License Agreement and any dispute or claim arising from it shall be governed by and interpreted in accordance with the laws of England and Wales.

Where applicable law permits, the courts of England and Wales shall have jurisdiction over disputes arising from or relating to this Agreement.

Nothing in this section limits any mandatory consumer rights that may apply to you under the laws of your country of residence.
